Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NiceMatrix apps, websites, software and related services (the “Platform”) provided by NiceMatrix Technologies Inc., registered at Unit #598, 329 Howe St, Vancouver, BC, Canada V6C 3N2 (“NiceMatrix”, “we”, “us”, or “our”).

By creating an account, or otherwise accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy (https://www.nicematrix.ca/privacy-policy/). If you do not agree, do not use the Platform.

1. Eligibility
You must be at least the age of majority in your jurisdiction, or the minimum age required to use the Platform in your country, and capable of forming a binding contract. If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Your Account
You may register using a phone number, email address, or a supported third-party login. You are responsible for providing accurate information and for keeping your credentials secure.
You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use.
We may suspend or terminate accounts that violate these Terms or applicable law.

3. SMS / Text Message Verification
When you register or sign in with a phone number, we send a one-time verification code (OTP) by SMS to confirm that the number belongs to you.
Consent: By providing your phone number and requesting a code, you consent to receive transactional verification text messages from us at that number.
Message frequency: Messages are sent only when you request a code or perform a security-sensitive action. We do not send marketing SMS through this channel.
Message & data rates may apply depending on your mobile carrier and plan.
Opt-out: Reply STOP to a verification message to opt out of further messages; reply HELP for assistance. Opting out may prevent you from completing phone-based sign-in.
We use third-party messaging providers (for example, Twilio and Aliyun) solely to deliver these messages. We do not sell or share your phone number or opt-in data with third parties for their own marketing.

4. Acceptable Use
You agree not to:
violate any law or the rights of others;
upload or distribute unlawful, infringing, deceptive, or harmful content;
attempt to gain unauthorized access to the Platform, other accounts, or our systems, or interfere with their normal operation;
abuse, automate, or overload any verification, messaging, or rate-limited feature;
use the Platform to send spam or to harvest others’ data.

5. User Content
You retain ownership of content you create or upload (“User Content”).
You grant NiceMatrix a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, and display your User Content to the extent necessary to operate, promote, and improve the Platform, consistent with our Privacy Policy and your settings.
You are solely responsible for your User Content and represent that you have the rights necessary to grant this license.

6. Purchases and Virtual Items
The Platform may offer paid features, virtual items, or virtual currency (e.g., Coins). Prices and availability may change.
Except where required by law, purchases of virtual items are final and non-refundable. Virtual items have no monetary value outside the Platform and cannot be exchanged for cash.
Payments are processed by third-party payment providers, subject to their terms.

7. Intellectual Property
The Platform, including its software, design, trademarks, and content (excluding User Content), is owned by NiceMatrix or its licensors and is protected by applicable laws. We grant you a limited, revocable, non-transferable license to use the Platform for personal, non-commercial purposes in accordance with these Terms.

8. Third-Party Services
The Platform may link to or rely on third-party services (e.g., login providers, payment processors, messaging providers). We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

9. Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

10. Limitation of Liability
To the maximum extent permitted by law, NiceMatrix and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Platform. Our aggregate liability for any claim will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) CAD 100.

11. Indemnification
You agree to indemnify and hold harmless NiceMatrix from any claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Platform, or your violation of these Terms or applicable law.

12. Termination
You may stop using the Platform at any time and may delete your account in settings. We may suspend or terminate your access if you violate these Terms or if required by law. Provisions that by their nature should survive termination (e.g., ownership, disclaimers, limitation of liability) will survive.

13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Platform or by other reasonable means. Your continued use after the changes take effect constitutes acceptance.

14. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The courts located in Vancouver, British Columbia will have jurisdiction, subject to any mandatory consumer-protection rights in your place of residence.
